Definitions In these Terms, the following definitions apply: “Customer” refers to individuals or organizations who use Byewu’s platform to plan events and hire vendors. “Vendor” refers to businesses or individuals who provide event-related services and use the Byewu platform to offer their services to customers. “Platform” refers to Byewu’s online platform, website, and related Services. “Agreement” refers to the binding contract formed between you (whether as a Vendor or Customer) and Byewu when you use our platform or Services. 2. User Accounts To access and use the Services, you must create an account. You agree to provide accurate and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Customer Accounts: Customers must provide necessary details to facilitate event planning and service bookings. Vendor Accounts: Vendors must provide business and service-related information, including but not limited to business name, services offered, pricing, and payment details. Byewu reserves the right to suspend or terminate accounts that violate these Terms. 3. Use of the Platform For Customers: Byewu allows you to browse, compare, and hire vendors for event planning services. You can make inquiries, request quotes, and manage event details through your customer account. For Vendors: Byewu provides a platform for vendors to list their services, connect with potential customers, and facilitate bookings. Vendors agree to provide accurate information and honor all agreed-upon terms with customers. You agree to use the Platform in a lawful, respectful, and responsible manner, refraining from any activities that may harm the reputation of Byewu or violate any applicable laws or regulations. 4. Payment Terms Byewu facilitates payments between customers and vendors through third-party payment processors. All payments are subject to the terms and conditions of the third-party payment providers. Customers agree to pay for services ordered through the Platform, and vendors agree to provide services as contracted. Customer Payments: Payment for services is typically made at the time of booking, unless otherwise agreed with the vendor. Vendor Payments: Vendors are responsible for providing accurate payment details to receive compensation for their services. Byewu may charge a service fee or commission on payments made through the platform. Byewu is not responsible for disputes regarding payment amounts or transactions between customers and vendors. Responsibilities of Customers and Vendors Customer Responsibilities: - Provide clear and accurate event details, including dates, location, and specific requirements. - Ensure timely payment for services and adhere to all agreements made with vendors. - Comply with the Platform's policies and respect vendors’ terms and conditions. Vendor Responsibilities: - Provide accurate descriptions of services, availability, and pricing. - Honor all bookings and agreements made with customers, ensuring that services are provided as promised. - Maintain professional standards of service and communication at all times. - Comply with all relevant laws, including obtaining necessary licenses, insurance, and certifications (if applicable). 6. Intellectual Property All content and materials on the Byewu Platform, including but not limited to text, images, logos, graphics, and software, are owned by Byewu or licensed to us. You may not copy, distribute, or reproduce any content from the Platform without prior written consent from Byewu. Vendors retain ownership of any original content they upload to the Platform, but grant Byewu a non-exclusive, worldwide, royalty-free license to use, display, and promote this content on the Platform. 7. Privacy and Data Protection Byewu is committed to protecting your personal data in compliance with the GDPR and the Data Protection Act 2018. For Vendors: Byewu is not responsible for any loss or damage that may arise from the use of the Platform, including but not limited to customer dissatisfaction, payment issues, or disputes. 10. Indemnification You agree to indemnify, defend, and hold harmless Byewu, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Platform or any violation of these Terms. 11. Termination Byewu reserves the right to suspend or terminate your account and access to the Platform at our sole discretion, without prior notice, for any reason, including but not limited to violation of these Terms, failure to comply with our policies, or unlawful conduct. Upon termination, any outstanding obligations, including payment obligations, shall survive, and you shall no longer have access to the Platform unless explicitly reinstated. 12.
